PERSONNEL AND AWARD COMMITTEE STRUCTURE:

Membership of the Personnel and Award Committee of Rosseti Volga, PJSC were approved by the decision of the Board of Directors of Rosseti Volga, PJSC as of June 05, 2022 (Minutes on June 06, 2022 No.1):

PERSONNEL AND AWARD COMMITTEE AUTHORITIES:

- development of principles and criteria in the sphere of awards and material inducement of the Company Board of Directors members, the Company Board of Directors Chairman; the company Administration members; the Company Director General;
- recommendations to the Company Shareholders General Meeting on the amount of awards and compensations paid to the Board of Directors members;
- preparation of recommendations on approval (correction) of internal documents, regulating issues of payment of awards and compensations to the Company Board of Directors members;
- determination of the criteria of selection of candidates to the Company Board of Directors members, to the Company Director General position and preliminary assessment of the stated candidates;
- the Company Director General activity regular assessment and preparation of the relevant offers and recommendations including recommendations on his re-election possibility for the Board of Directors;
- the Company Director General election and early termination of his authorities, including making a decision on early termination of the labor contract with him;
- the Company Administration quantitative composition determination, the Company Administration members election, specification of awards and compensations paid to them, early termination of their authorities, including early termination of labor contracts with them;
- bringing to the attention of the Company shareholders General Meeting the issue of the Company sole executive body authorities transfer to a managing company (manager) and the managing company (manager) authorities early termination;
- approval of terms of contracts (including the authority term and the amount of paid awards and compensations), concluded with the Company Director General, Administration members, managing company (manager) and the stated contracts amendment;
- making a decision on the managing company (manager) authorities suspension;
- making a decision on the Company Acting Director General appointment except the cases stipulated by clauses 21.16. of article 21 of the Company Bylaws;
- making a decision on the Company Director General recommendation for state awards;
- agreement of candidates for some Company executive administration positions, specified by the Company Board of Directors;
- approval of the Company executive administration organizational structure and its amendment;
- other issues by the Company Board of Directors order.
